PLEASE READ THIS DOCUMENT CAREFULLY. IT CONTAINS VERY IMPORTANT INFORMATION ABOUT
YOUR (THE "CLIENT'S") RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATION AND EXCLUSIONS THAT MAY
APPLY TO YOU.
This Agreement contains the terms and conditions that apply to Client's purchase from Smart Business
Impressions (SBI) of "Services" and/or related products ("Websites/Desktop Publishing") in the United States.
By accepting delivery of the "Services", Client agrees to be bound by and accepts these terms and conditions.
THESE TERMS AND CONDITIONS APPLY UNLESS THE CLIENT AND SBI HAVE SIGNED A SEPARATE
AGREEMENT COVERING THE PURCHASE OF THE "Services" IN WHICH CASE THE SEPARATE AGREEMENT
SHALL GOVERN.
1. Purchase.
Upon SBI's acceptance of the Client's order, a firm contract for the purchase and sale of the "Services"
ordered, sold and/or distributed by SBI will be formed between SBI and Client, and shall incorporate all the
terms set forth herein. These terms and conditions shall NOT be altered or amended by the use of any
document(s). Any attempt to alter this document or to enter an order for "Services" which are subject to
additional and/or altered terms and conditions will become null and void, unless otherwise agreed to in a written
agreement signed by both parties.
2. Order Acceptance.
All product orders are for use and delivery within the United States. ALL ORDERS PLACED BY CLIENT ARE
SUBJECT TO ACCEPTANCE BY SBI.
3. Delivery.
Delivery shall be subject to SBI's Shipping Policy as set forth on this Web site.
4. Warranty.
SBI warrants that SBI is the legal and rightful owner of the "Services" or that it is legally licensed and/or
authorized to sell and/or distribute "Services" being purchased hereunder. All Supplies delivered hereunder will
be free and clear of any and all encumbrances of any kind. You acknowledge that SBI is not the manufacturer
of any of the "SERVICES" purchased hereunder. THIS WARRANTY SUPERSEDES ALL INCONSISTENT
PROVISIONS OF ANY AND ALL PURCHASE ORDERS, INVOICES, ACKNOWLEDGMENTS, OR OTHER
WRITINGS OR STATEMENTS, WRITTEN OR OTHERWISE. SBI DISCLAIMS ALL OTHER EXPRESS OR
IMPLIED WARRANTIES AND PRODUCT LIABILITY, SPECIFICALLY INCLUDING THE IMPLIED WARRANTIES
OF NON INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.
5. Limitation of Liability.
In no event will SBI be liable for any indirect, special, incidental, or consequential damages, whether based on
contract, tort, or any other legal theory, including without limitation loss of data or its use, loss of profits, loss of
business, or other economic damages, even if advised of the possibility of such loss or damage.
6. Returns.
If you encounter a problem with any service that you've purchased, simply call 1-334-683-2841 weekdays 8:00
a.m.- 5:00 p.m. (CT) for instructions to clear up the matter at hand. We'll pay return shipping charges. We'll
then quickly replace it, issue a full credit. No Refunds.
7. Pricing.
Services purchased from this Web site are not intended for resale. SBI reserves the right to limit service and to
refuse orders that have unclear goals or objectives unsuitable to our beliefs. Although we intend to maintain
our pricing throughout, we reserve the right to change prices and limit services due to changes in market
conditions. Every effort is made for this website to be accurate. However, occasional posting errors may occur,
thus SBI reserves the right to bill for all Services at the prices that they deem to be correct. Information received
hand-written is subject to additional fees. Documents should be sent to SBI in a typed format.
8. Photos.
All orders of photos may be subject to additional terms and conditions.
9. Taxes.
You shall be responsible for any state or local tax (excluding taxes based on SBI's income or profits) that
results from the transfer of title or sale or delivery of the Services purchased hereunder unless a tax exemption
certificate is furnished to SBI prior to delivery. Note: we currently are not taxing our services.
10. Payment.
Payment is due and payable net 10 days from the date of invoice. Late payments shall be assessed a late
payment charge at the rate of 2.5% per month, but in no event shall such interest exceed the maximum
percentage allowable by law.
11. Credit Limits.
Credit limits and terms shall be subject at all times to SBI's credit policies and procedures, as amended from
time to time.
12. Reservation of Rights. SBI reserves the right to change at any time without notice SBI's terms and
conditions of sale.
